By accessing or using MERCHON's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

MERCHON provides merchant services including but not limited to payment processing, point-of-sale systems, e-commerce solutions, mobile payments, and business analytics. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into this agreement
• Operate a legitimate business
• Not be prohibited from receiving financial services under applicable law
• Provide accurate and complete registration information

4. Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Acceptable Use

You agree not to use our services to:

• Process transactions for illegal goods or services
• Engage in fraudulent or deceptive practices
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware or harmful code
• Interfere with or disrupt our services

6. Fees and Payment

You agree to pay all fees associated with your use of our services as outlined in your merchant agreement. Fees are subject to change with 30 days' notice. All fees are non-refundable unless otherwise stated.

7. Transaction Processing

We will process transactions in accordance with card network rules and applicable laws. We reserve the right to decline any transaction and to place holds on funds when we suspect fraud or violations of these terms.

8. Chargebacks and Disputes

You are responsible for all chargebacks, reversals, and disputes related to your transactions. We may debit your account for chargeback amounts plus applicable fees. Excessive chargebacks may result in account termination.

9. Intellectual Property

All content, trademarks, and intellectual property on our website and in our services are owned by MERCHON or our licensors. You may not use, copy, or distribute any content without our express written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERCHON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

11. Indemnification

You agree to indemnify and hold harmless MERCHON, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of our services or violation of these terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting on our website or via email. Continued use of our services constitutes acceptance of modified terms.
